ASSOCIATE GENERAL COUNSEL, NORTH AMERICA
CRYSTAL CITY, VA
This position is responsible for:
Supporting Cobham Advanced Electronic Solutions (CAES) Legal and Compliance function
Providing practical, solution oriented legal advice that is supportive of business objectives on legal issues that are of material importance to CAES
As a reverse service, supporting the overall Group’s Legal and Compliance function and supporting the Legal and Compliance function for North America outside of CAES and providing practical, solution oriented legal advice that is supportive of business objectives on North American legal issues that are of material importance to the Cobham Group
Supporting the General Counsel, North America in all substantive areas of law within North America
Provide legal advice to Business Units and the Commercial and Contract function on the requirements and obligations under the Federal Acquisition Regulation/Defense Federal Acquisition Regulation Supplement
Provide legal advice in areas of labor & employment, merger & acquisition, litigation, compliance, Foreign Corrupt Practices Act
Develop and maintain policies, tools and other resources related to key legal risks (Anti-Corruption, etc) and compliance programs and overseeing compliance monitoring
Support the Director, US. Government Contracting compliance on policies, tools and the compliance monitoring
Investigate U.S. Government Contracting compliance issues
Provide to, or obtain specialised legal advice for, vertical support functions in (e.g., HR, IT)
Manage or oversee material or serious legal matters (e.g., litigation, investigations)
Monitor external legal spend, taking decisions on the balance of insourcing and outsourcing for North America; and manage use of non-preapproved external law firms for legal support in North America
Educate and train business unit personnel on compliance with the FAR/DFARS, FCPA, L&E, etc.
Develop and deploy online employee awareness training and materials as required in various areas.
Perform due diligence in connection with mergers and acquisitions
Law degree from an accredited college or university and license to practice law in the United States
Required Experience, Attributes and Skills:
7-9 or more years of years of substantive corporate experience focused on complex international legal and compliance issues, including U.S Government regulations (FAR/DFARS)
Knowledge of an FOCI environment (e.g., Special Security Agreements)
Experience in counseling senior leaders
Customer-focused team player and consensus builder with strong communication, training, organizational, and management skills
Demonstrated ability to use advanced features of MS office products
Ability to work on multiple projects simultaneously to meet established deadlines.
Capable of holding a Security Clearance
Foreign Corrupt Practices Act (FCPA); UK Anti-Bribery Act; Labor & Employment
