Non-Disclosure/Proprietary Data Agreement

The terms and conditions and other data available through the Sensor and Antenna Systems, Lansdale, Inc. Procurement Home Page are the property of Sensor and Antenna Systems, Lansdale, Inc. a subsidiary of Cobham Defense Electronic Systems and shall not be duplicated, used, or disclosed, in whole or in part, for any purpose other than for evaluation in connection with, and the preparation of, a proposal(s)

in response to a solicitation from, and for submittal to, Sensor and Antenna Systems, Lansdale, Inc. ("the Purpose"); provided, that if a Purchase Order / Subcontract is awarded to the offeror as a result of the submission of a proposal, the recipient shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting subcontract.

Recipient agrees not to disclose any portion of the data to any third party and to limit disclosures thereof within recipient's organization to only those of its officers and employees who have a need to know the data in furtherance of the Purpose and who have been advised of, and agreed to be bound by, the restrictions on use, duplication or disclosure set forth herein. Recipient shall exercise the same degree of care - but in no case less than reasonable care - to preserve and safeguard such terms and conditions

and any other data obtained through the Sensor and Antenna Systems, Lansdale, Inc. Procurement Home Page as it uses to preserve and safeguard its own like data. Upon discovery by recipient of any unauthorized use or disclosure of such data, recipient shall immediately notify Sensor and Antenna Systems, Lansdale, Inc. and shall endeavor to recover the data and to prevent their further unauthorized use or disclosure. By signifying its acknowledgment and by receiving any data available through the Sensor and Antenna Systems, Lansdale, Inc. Procurement Home Page, recipient agrees to be bound by these restrictions.
